These Terms & Conditions ("Terms") govern your access to and use of the websites, the Solutions Hub portal, applications, products, and services (together, the "Services") operated by BrandTelligence Sdn. Bhd. [Reg. No. 202501038531 (1639940-D)], a company incorporated in Malaysia, and BrandTelligence (Pty) Ltd [Reg. No. 202452075307], a company incorporated in the Republic of South Africa (each a "BrandTelligence entity", and together "BrandTelligence", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.
1. Agreement to these Terms
By accessing the Services, creating a Solutions Hub account, or entering into a statement of work with us, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, you must not use the Services.
2. Definitions
- "Solutions Hub" — the authenticated portal through which clients and staff access dashboards, products, and project deliverables.
- "Content" — text, graphics, designs, code, data, and other materials made available through the Services.
- "Deliverables" — the work product we produce for you under an agreed statement of work or engagement.
- "User" — any person who accesses the Services, with or without an account.
3. Eligibility & Solutions Hub accounts
The Solutions Hub is available to staff and authorised clients only. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We may suspend or terminate accounts that breach these Terms or that we reasonably believe present a security risk.
4. Use of the website & Services
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. You must not use the Services in any way that is unlawful, infringes the rights of others, or interferes with their operation or security.
5. Intellectual property
All Content, branding, and underlying technology of the Services are owned by or licensed to BrandTelligence and are protected by intellectual-property laws. Except as expressly set out in a written agreement, nothing in these Terms transfers any ownership to you. Ownership of bespoke Deliverables is governed by the relevant statement of work; until full payment is received, all Deliverables remain our property.
6. Client engagements & deliverables
Specific projects are governed by a separate statement of work or proposal that sets out scope, fees, timelines, and acceptance criteria. Where a statement of work conflicts with these Terms, the statement of work prevails for that engagement. Estimates of timelines are made in good faith and may be affected by your timely provision of information, approvals, and access.
7. Acceptable use
You agree not to: (a) reverse engineer, copy, or resell the Services except as permitted by law; (b) upload malicious code or attempt to gain unauthorised access; (c) misrepresent your identity or affiliation; (d) use the Services to store or transmit unlawful, infringing, or harmful material; or (e) scrape or harvest data without our written permission.
8. Third-party services & links
The Services may integrate with or link to third-party platforms (for example, cloud infrastructure, analytics, or mapping providers). We are not responsible for the content, policies, or practices of third parties, and your use of them is governed by their own terms.
9. Disclaimers
Except as expressly stated in a written agreement, the Services and Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.
10. Limitation of liability
To the maximum extent permitted by applicable law, BrandTelligence will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or in connection with the Services will not exceed the fees paid by you to the relevant BrandTelligence entity in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless BrandTelligence and its personnel from any claims, losses, or expenses arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
12. Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only for the purpose of the engagement and protect it with the same care it applies to its own confidential information. This obligation survives termination.
13. Governing law & jurisdiction
For Services provided by BrandTelligence Sdn. Bhd., these Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction. For Services provided by BrandTelligence (Pty) Ltd, these Terms are governed by the laws of the Republic of South Africa, and the South African courts have exclusive jurisdiction.
14. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms or where required by law. Provisions that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, and limitation of liability) will continue to apply.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Material changes will be notified through the Services or by email where appropriate. Continued use after changes take effect constitutes acceptance.
